Premier Marketing Public Company Limited
In planning and formulating the business strategies of Premier Marketing Public Company Limited and its subsidiaries, consideration has been given to building credibility with stakeholders, ensuring transparency and accountability, and supporting the long-term strength of the business. Therefore, the Company's Board of Directors has discussed and appointed a new sub-committee: the Governance and Risk Oversight Committee. The roles and responsibilities of this committee are as follows:

Roles and responsibilities of the Corporate Governance and Risk Management Committee
- 1. To monitor, review, evaluate, and provide recommendations on the governance and risk management practices of the management team, including the Managing Director and senior executives of the Company and its subsidiaries, as follows:
- 1.1 Follow up on the strategic planning and implementation of the management's governance and risk management of the company.
- 1.2 Check and evaluate the performance of the work according to the plan and evaluate the success of the work.
- 1.3 Provide recommendations for reviewing the governance and risk management plans for appropriateness.
- 2. Schedule meetings with the management of the Company and its subsidiaries to report on the implementation of the management plan (at least twice a year), on a quarterly basis.
- 3. The Corporate Governance and Risk Committee shall submit a report to the Board of Directors at least once a year.
- 4. Perform any other duties related to governance and risk as assigned by the Board of Directors.
In addition to ensuring that the management direction of Premier Marketing Public Company Limited is in line with the management, governance and risk management policies, the Company has established two working groups as follows:
- 1. Corporate Risk Management Committee
- 2. Corporate Governance Committee
Roles and responsibilities of the Corporate Risk Management Committee Working Group
- 1. Define and review a corporate risk management framework suitable for efficient business operations and in accordance with international standards. Additionally, establish a Business Continuity Management (BCM) system based on the ISO 22301 standard framework, ensuring its connection and alignment with risk management. This includes planning for implementation, conducting drills, and continuously improving, as well as effectively building a corporate culture as assigned by the Governance and Risk Management Committee
- 2. Define and review the risk management process to align with the corporate risk management framework, and develop a business continuity plan to ensure effectiveness, adequacy, and relevance in changing circumstances.
- 3. Monitor and report significant risk management activities to the Governance and Risk Management Committee quarterly to ensure that the risk management process is implemented in accordance with and adheres to company policy. Be responsible for any other tasks assigned by the Governance and Risk Management Committee, the Audit Committee, and the Board of Directors.
Roles and responsibilities of the Corporate Governance
- 1. Review/revise processes and guidelines to align with the company's good corporate governance policy.
- 2. Inspect and monitor the consistent implementation of the company's good corporate governance policies and guidelines.
- 3. Support and promote the organization's values and business ethics regarding good corporate governance, ensuring verifiability in all work processes and steps.
- 4. Organize meetings to review and monitor the performance according to the good corporate governance policy and regularly report the results to the Governance and Risk Management Committee on a quarterly basis.
- 5. Be responsible for communicating, publicizing, and providing training on good corporate governance to employees within the organization and relevant stakeholders.
- 6. Be responsible for any other tasks assigned by the Governance and Risk Management Committee, the Audit Committee, and the Board of Directors.
